Recent Extraordinary General Meeting Resolution:

The following resolution was passed by poll at the Extraordinary General Meeting on Monday, January 4, 2010.  The number of votes cast were 32,124,301 in favor of the resolution and 14,669 against the resolution.

Resolution:

“That the waiver granted by the Panel on Takeovers and Mergers of the obligation that would otherwise arise on the Concert Party to make a general offer to the shareholders of the Company under Rule 9 of City Code on Takeovers and Mergers on the receipt of their Consideration Shares and Subscription Shares which would result in their holding 36.6 per cent. of the Enlarged Issued Ordinary Share Capital (following the completion of the Proposals) be and is hereby approved (and for the purposes of this resolution capitalised terms shall have the meaning ascribed to them in the Admission Document.”
